1. Acceptance of Terms

Welcome to HIWLive.com, operated by HIW, LLC (“HIW Live,” “HIW,” “we,” “our,” or “us”).

These Terms & Conditions govern your access to and use of:

• HIWLive.com,

• member areas,

• programs,

• services,

• forums and community spaces,

• digital content,

• physical and digital products,

• Stillpoint access,

• communications,

• downloads,

• applications, and

• other HIW offerings made available through our websites or related services.

By accessing or using HIWLive.com or an HIW service, you acknowledge that you have had an opportunity to review and agree to these Terms together with the policies applicable to the offering or service you use.

If you do not agree with the applicable terms, please discontinue use of the relevant service.

2. Purpose of HIW Live

HIW Live provides educational wellness information, coaching support, contemplative resources, digital content, lifestyle education, and related services intended to support informed personal choices.

HIW content and services are educational and informational in nature.

HIW does not provide medical diagnosis, medical treatment, prescribing, psychotherapy, psychiatric care, crisis care, or emergency services through its general educational offerings.

Individual experiences and outcomes vary.

3. Eligibility

To use HIW services, make purchases, create an account, participate in programs, or access restricted content, you must:

• be at least 18 years of age, or the legal age of majority in your location;

• have the legal capacity to enter into a binding agreement; and

• use the services in compliance with applicable law.

Use is prohibited where unlawful.

4. Accounts and Security

Some HIW features require an account.

You agree to:

• provide accurate and current information,

• maintain the confidentiality of your login credentials,

• use your account only as authorized, and

• promptly notify HIW if you become aware of unauthorized access.

You are responsible for activity occurring through your account.

HIW may restrict or suspend access where reasonably necessary because of:

• suspected fraud,

• security concerns,

• unauthorized sharing,

• misuse,

• violations of applicable policies, or

• legal requirements.

5. Purchases and Service-Specific Terms

HIW may offer:

• coaching and educational wellness sessions,

• programs,

• memberships,

• subscriptions,

• physical products,

• digital products,

• Stillpoint content,

• downloadable resources,

• audio,

• music,

• images,

• educational materials, and

• other services or products.

Each offering may have its own:

• price,

• access period,

• booking period,

• renewal terms,

• delivery method,

• refund or return conditions, and

• additional requirements.

Those specific terms apply together with these sitewide Terms.

Where a service-specific or product-specific term directly addresses a particular transaction, that more specific provision applies to that transaction, subject to applicable law.

6. Payments, Pricing, Refunds, and Returns

Prices and payment terms are displayed before purchase.

Payment may be processed through authorized third-party providers such as Wix, PayPal, Stripe, or another payment method presented at checkout.

By completing a purchase, you authorize the applicable payment provider to process the charges associated with the transaction.

Refund, return, cancellation, and rescheduling rights depend upon the type of offering.

Sessions and Services

Session-based services are generally subject to the HIW Refund, Deferral, and Session Use Policy and applicable booking terms.

Digital Products

Digital products are generally final sale and non-refundable once purchased and access to the content has been provided, except where applicable law requires otherwise.

Physical Products

Physical-product returns are governed by the HIW Return Policy.

Subscriptions and Memberships

Cancellation of a recurring subscription stops future renewals according to the applicable cancellation terms. Cancellation does not ordinarily create a refund for charges already processed.

Nothing in these Terms limits a consumer right that cannot lawfully be excluded.

7. Digital Products and Stillpoint Access

Some digital products are accessed through Stillpoint or another protected HIW digital environment.

Where instructed, purchasers should use the same email address used for the purchase when signing in to the applicable account so that the purchase can be correctly associated with the user.

A downloadable PDF or file provided after checkout may contain access instructions rather than the purchased digital content itself.

Purchased digital access may be:

• granted,

• restored,

• refunded,

• revoked, or

• otherwise administered

according to the applicable transaction and entitlement records.

Purchase of digital content provides a limited personal right of access and does not transfer ownership of the underlying intellectual property.

8. Intellectual Property and User License

All HIW website content and materials, including:

• written content,

• devotional materials,

• digital products,

• software,

• videos,

• audio,

• music,

• images,

• graphics,

• downloads,

• worksheets,

• logos,

• branding,

• program content, and

• documentation

are owned by HIW, its licensors, or other authorized rights holders and are protected by applicable intellectual-property laws.

Unless otherwise stated in writing, HIW grants users a limited, revocable, non-exclusive, non-transferable, non-commercial license to access and use authorized materials for personal purposes.

You may not, without prior written permission:

• copy or reproduce materials for distribution,

• publish or republish protected content,

• distribute or redistribute materials,

• resell or sublicense content,

• share paid or protected access,

• modify content for redistribution,

• create commercial derivative works,

• remove copyright or ownership notices,

• bypass access controls,

• reverse engineer protected systems,

• scrape or systematically extract protected material, or

• use HIW materials for unauthorized AI training, automated extraction, or commercial data harvesting.

The separate HIW User License provides additional details regarding permitted and prohibited uses.

9. Community Conduct

HIW seeks to maintain respectful and supportive communities.

When participating in forums, groups, live sessions, or other interactive environments, users agree to:

• communicate respectfully,

• avoid harassment or discriminatory conduct,

• respect privacy and confidentiality,

• avoid presenting personal opinions as professional medical instructions,

• refrain from spam or unauthorized commercial promotion,

• avoid unlawful or harmful content,

• refrain from uploading malware or malicious code, and

• comply with the HIW Code of Conduct.

HIW may moderate, remove, or restrict content or participation where reasonably necessary to protect participants, HIW, or the integrity of the service.

10. User-Generated Content and Feedback

Private Stillpoint journal entries, drafts, and personal journal uploads remain yours. They are not public submissions and are excluded from the content-use licence granted in this section for public contributions, reviews, and testimonials. Their processing is described in the HIW Privacy Policy.

If you submit comments, reviews, testimonials, photographs, feedback, or other materials to HIW, you represent that you have the right to provide them.

Unless another agreement states otherwise, you grant HIW a non-exclusive license to use material you intentionally submit for the purpose for which it was provided.

HIW will obtain any additional consent required before using a participant's name, image, testimonial, or recorded appearance for public marketing where such consent is legally required or otherwise appropriate.

HIW may remove user-generated content that is:

• unlawful,

• threatening,

• defamatory,

• abusive,

• misleading,

• promotional without authorization, or

• inconsistent with HIW policies.

11. Privacy and Personal Information

Personal information is handled in accordance with the HIW Privacy Policy.

Depending upon the service, HIW may process information necessary to:

• administer accounts,

• provide purchased access,

• manage bookings,

• process orders,

• maintain entitlement records,

• respond to support requests,

• communicate about services,

• prevent fraud,

• maintain security, and

• comply with legal obligations.

Certain wellness-related information may also be subject to additional consumer-health-data requirements where applicable.

12. Third-Party Services and Links

HIW may use third-party service providers to support its operations.

These may include providers supporting:

• website hosting,

• ecommerce,

• payment processing,

• video communication,

• email,

• forms,

• analytics,

• messaging,

• podcast hosting,

• authentication,

• cloud infrastructure, and

• customer support.

Examples may include:

• Wix,

• Zoom,

• WhatsApp Business,

• Google Workspace,

• Google Analytics,

• Podbean,

• PayPal, and

• Stripe.

Third-party providers operate under their own terms and privacy policies.

External links are provided for convenience or informational purposes. HIW does not control independent third-party websites or their practices.

13. Electronic Communications

By creating an account, purchasing an offering, booking a service, or contacting HIW, you may receive transactional or service-related communications, such as:

• purchase confirmations,

• receipts,

• booking reminders,

• digital-access instructions,

• account notifications,

• refund information,

• membership notices, and

• customer-support communications.

These service communications are separate from marketing communications.

Marketing email or SMS communications are subject to applicable consent and opt-out requirements.

14. Recordings and Technology

Some HIW sessions or programs may use technologies such as Zoom, WhatsApp, online forums, or other communication systems.

Participants may not record, screen-record, photograph, transcribe, or otherwise capture HIW sessions without authorization.

This includes unauthorized use of automated or AI transcription tools.

Where HIW proposes recording a session, participants will be informed and any required consent will be obtained.

Users should recognize that no internet-based communication system can guarantee absolute privacy or uninterrupted availability.

15. Washington Telehealth Clarification

HIW's general educational wellness services do not constitute clinical telehealth.

If an independently licensed healthcare professional provides a separate clinical or telehealth service through a link, referral, or scheduling system associated with HIW, that professional is responsible for complying with the licensing, informed-consent, and professional requirements applicable to that clinical service.

16. Prohibited Uses

You agree not to:

• violate applicable laws,

• infringe intellectual-property or privacy rights,

• interfere with website or system security,

• access another person's account without authorization,

• misrepresent your identity or affiliation,

• introduce harmful software,

• circumvent access controls,

• reverse engineer protected systems,

• scrape or systematically extract protected content without authorization,

• use HIW systems for fraud or abuse, or

• use HIW services in a manner that materially interferes with other users.

17. Copyright and Intellectual-Property Concerns

HIW respects intellectual-property rights.

If you believe material made available through HIW infringes your copyright or other intellectual-property rights, please contact HIW and provide sufficient information for us to identify and review the concern.

18. Disclaimers

HIW services and content are provided for the purposes described in the applicable offering.

We seek to provide reliable services and accurate educational information, but we do not guarantee:

• uninterrupted website or application availability,

• error-free technology,

• compatibility with every device,

• uninterrupted third-party services, or

• specific personal outcomes.

Use of HIW educational content remains subject to the user's own judgment and circumstances.

19. No Guarantee of Results

HIW does not guarantee particular:

• health outcomes,

• emotional outcomes,

• physical results,

• financial results,

• lifestyle changes, or

• personal outcomes.

Individual experiences may vary based upon factors including participation, consistency, personal circumstances, choices, and factors outside HIW's control.

20. Limitation of Liability

To the fullest extent permitted by applicable law, HIW is not responsible for indirect, incidental, special, exemplary, punitive, or consequential losses arising from or related to use of the services.

Where liability cannot legally be excluded or limited, HIW's responsibility will be limited to the extent permitted by law.

Nothing in these Terms excludes a right, remedy, duty, or liability that applicable law does not permit HIW to exclude.

21. Indemnification

To the extent permitted by applicable law, you agree to be responsible for losses or claims arising from your own:

• unlawful use of the services,

• material violation of these Terms, or

• infringement of another person's legal rights.

This provision does not require a consumer to waive rights or remedies that cannot legally be waived.

22. Suspension and Termination

You may stop using HIW services at any time.

Where available, you may request or initiate account deletion subject to the applicable Privacy Policy and account procedures.

HIW may suspend or terminate access where reasonably necessary because:

• these Terms or another applicable policy have been materially violated,

• fraud or unauthorized use is suspected,

• security or legal concerns arise,

• payment is reversed or invalidated where access depends on that payment, or

• the relevant service is discontinued.

Termination does not eliminate rights or obligations that by their nature are intended to survive termination.

23. Availability, Changes, and Updates

HIW may update, modify, suspend, or discontinue products, services, features, content, or technical delivery methods.

Changes may be made to:

• improve quality,

• maintain security,

• update educational content,

• change technology providers,

• comply with law, or

• respond to operational requirements.

The current version of these Terms will be identified by the Last Updated date.

Changes will apply prospectively to the extent required by applicable law.

24. Force Majeure

HIW is not responsible for delays or inability to perform caused by circumstances reasonably beyond its control, including:

• natural disasters,

• severe weather,

• power outages,

• internet outages,

• illness,

• labor disruptions,

• cyber incidents,

• governmental actions,

• third-party service failures, or

• similar unforeseen circumstances.

HIW will make reasonable efforts to provide alternatives where practicable.

25. Governing Law and Consumer Rights

HIW, LLC is organized in the State of Washington, USA.

These Terms are generally governed by the laws of Washington State, subject to applicable conflict-of-law principles and mandatory consumer-protection laws.

Nothing in these Terms is intended to deprive a consumer of rights or protections that cannot legally be waived under the law applicable to that consumer or transaction.

26. Assignment

Users may not transfer their personal account, purchased access, or contractual rights to another person except where HIW expressly permits the transfer or applicable law requires otherwise.

HIW may transfer its rights or obligations in connection with a merger, restructuring, acquisition, sale of assets, or similar business transaction, subject to applicable law.

27. Severability and Waiver

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent legally permitted.

HIW's failure to enforce a provision on one occasion does not waive the right to enforce it later.

28. Relationship to Other HIW Policies

These sitewide Terms should be read together with any policies applicable to your use or purchase, including:

• the HIW Privacy Policy,

• the HIW Refund, Deferral, and Session Use Policy,

• the HIW Return Policy,

• the HIW Digital Product Policy,

• the HIW Checkout Disclaimer,

• the HIW Terms and Conditions for Booking Coaching Sessions,

• the HIW Participant Agreement,

• the HIW Code of Conduct,

• the HIW User License, and

• any product-specific or service-specific terms.
