1) Acceptance of Terms

Welcome to HIWLive.com, operated by HIW, LLC (“we,” “our,” or “us”). By accessing or using our website, member areas, programs, materials, forums, or communications (collectively, the “Services”), you have read, understood, and agree to these Terms & Conditions (“Terms”) and our Privacy Policy.

 

If you disagree with any part of these Terms, please discontinue use of the Services.

2) Purpose of HIW Live (Educational Scope)

• HIW Live provides science-based, heart-aware wellness education to support informed lifestyle choices.

• All content and programs are for educational purposes and are intended as general guidance.

• Medical decisions, nutritional plans, and individualized care are the responsibility of licensed healthcare professionals who can evaluate your specific circumstances.

• Participation does not create a provider–patient or dietitian–client relationship.

• Individual experiences vary.

3) Eligibility

To use the Services, you must

     (a) be 18+ or the age of majority in your location;

     (b) have capacity to enter a binding agreement; and

     (c) use the Services in compliance with applicable laws. Use is prohibited where unlawful.

4) Accounts & Security

Some features require a member account.

You agree to:

• provide accurate, current information;

• keep credentials confidential;

• promptly notify us of any unauthorized access.

You are responsible for all activity under your account. We may suspend or terminate access for suspected misuse, fraud, security risks, or violations of these Terms.

5) Community Conduct (Forum, Groups, Live Sessions)

We maintain a respectful, supportive environment.

You agree to:

• be courteous; avoid harassment, bullying, or discriminatory speech;

• share experiences, not medical instructions;

• respect confidentiality and privacy expectations;

• refrain from uploading malware, spam, or illegal content.

We may moderate, remove, or restrict content or access to protect the community.

6) Educational and Professional Disclaimers

The Services are educational; they do not provide medical care, therapy, or nutrition treatment. Always consult a licensed professional before changing medications, supplements, or health routines. Results vary and are not guaranteed. For emergencies, contact local emergency services.

7) Intellectual Property & License

All website content, course materials, videos, audio, graphics, logos, and documentation (the “Content”) are owned by HIW, LLC or its licensors and are protected by applicable IP laws.
We grant you a limited, revocable, non-exclusive, non-transferable license to access the Content for personal, non-commercial use. You may not reproduce, distribute, create derivative works, or publicly display the Content without prior written permission. Do not remove proprietary notices.

Trademarks: HIW Live names, logos, and program marks are trademarks of HIW, LLC. Third-party marks belong to their owners.

User License 

Access to HIW, LLC’s websites, including HIWLive.com, grants you a limited, revocable, non-exclusive, non-transferable license to access, view, and use the materials made available through through the HIW Websites solely for your own personal, non-commercial use and in accordance with these Terms.

This limited license does not transfer any ownership, intellectual property rights, or other interest in any content, materials, software, text, graphics, images, audio, video, downloads, logos, program content, or other materials available through HIW, LLC’s websites.

Except where expressly permitted in writing by HIW, LLC, you may not:

• copy, reproduce, republish, upload, post, transmit, or distribute any materials from the HIW Websites

• modify, adapt, translate, or create derivative works from any site content

• use any materials for commercial purposes, public display, resale, or redistribution

• remove copyright, trademark, attribution, or other proprietary notices

• attempt to reverse engineer, decompile, or otherwise extract source code or protected materials from the HIW Websites

• use any content, materials, or resources from HIW, LLC’s websites in a way that violates applicable law or infringes the rights of HIW, LLC or others

 

This license is granted only for lawful personal use. It automatically terminates if you violate these Terms or any other applicable HIW, LLC policies. Upon termination, you must immediately discontinue use of the HIW Websites and destroy or delete any unauthorized copies, downloads, excerpts, or stored materials obtained from them.

For clarification regarding permissible uses of HIW materials, please refer to any additional terms provided on the applicable HIW site, program, or service page, or contact HIW, LLC directly to request prior written authorization.

Unauthorized use, reproduction, distribution, modification, display, transmission, publication, sale, licensing, or other exploitation of materials available through the HIW, LLC’s websites may violate copyright, trademark, and other applicable laws and may result in legal action.

By accessing or using HIWLive.com, or any other HIW LLC’s website, you acknowledge that you have read, understood, and agreed to this User License and the applicable Terms governing use of HIW, LLC Websites.

8) User-Generated Content (UGC) & Feedback

If you submit comments, reviews, testimonials, or other materials (“UGC”), you:

• represent you own/hold rights to it and it does not infringe others’ rights;

• grant HIW, LLC a non-exclusive, worldwide, royalty-free, perpetual, sublicensable license to use, reproduce, adapt, and display UGC in connection with the Services;

• acknowledge we may edit for length/clarity without altering substance.

We may remove UGC at our discretion (e.g., unsafe, defamatory, or promotional content).

Testimonials/Recordings: Where applicable, we will obtain your consent before using your testimonial or appearance in recordings beyond your cohort’s private access (see program waiver).

9) Third-Party Services & Links

To deliver the Services, we use reputable providers who process limited data on our behalf (see Privacy Policy).

These include and may not be limited to:

• Wix.com (hosting),

• Zoom (live sessions),

• WhatsApp Business (communications),

• Google Workspace (email/docs),

• Google Analytics, and

• Podbean (podcasts).

External links are provided for convenience; we are not responsible for third-party sites or practices. Your use of third-party tools remains subject to their terms.

Affiliate Disclosure (if applicable): Some outbound links may be affiliate links. If used, we may receive a commission at no additional cost to you; this never affects our educational integrity.

10) Payments, Pricing, Refunds

Payments are processed securely via PayPal and Stripe. By purchasing, you agree to the processor’s terms and authorize charges. Prices are in USD unless stated otherwise and may change without notice.

Refunds/cancellations, if offered, are governed by program-specific terms presented at checkout or enrollment. If no program-specific policy is shown, all sales are considered final.

11) Availability, Changes, and Updates

• HIW Live may modify, suspend, or discontinue any part of the website, programs, or content at any time — for example, to improve quality, update materials, enhance security, or comply with legal or operational requirements.

• We may also revise these Terms, the Privacy Policy, or the Refund Policy at any time without prior notice.

• All changes are effective immediately upon posting on www.hiwlive.com and are indicated by an updated “Last Updated” date.

• Continued use of our website or participation in our programs after posting constitutes your acknowledgment and acceptance of the revisions for Terms and related polices, disclaimers and agreements.

• HIW is not required to provide prior notice of changes, and continued participation in our programs or use of the website after updates are posted constitutes your acknowledgment and acceptance of the revised terms.

12) Electronic Communications & Notices

• By creating an account or contacting us, you consent to receive service-related communications (e.g., confirmations, policy updates, reminders) by email or through the site.

• You can manage marketing preferences separately.

• Legal notices to HIW Live should be sent to hiwlives@gmail.com.

13) Recordings & Technology

Some group sessions may be recorded for enrolled participants’ private replay, per the Participant Waiver. Technology (Zoom/WhatsApp/forums) supports connection and learning but cannot ensure absolute privacy—share thoughtfully. Do not upload or redistribute session recordings or course materials.

14) Washington Telehealth Note

If a licensed healthcare provider independently offers telehealth to Washington-based patients using links or scheduling tools accessible via our site, that provider is solely responsible to comply with Washington law and professional standards, including licensure and informed consent. HIW Live provides educational services and does not furnish clinical telehealth.

15) Prohibited Uses

You agree not to:

     (a) violate laws;

     (b) infringe IP or privacy rights;

     (c) interfere with site security;

     (d) use bots or scraping except as permitted;

     (e) misrepresent identity or affiliation;

     (f) attempt to reverse-engineer site code;

     (g) upload harmful code.

16) DMCA / Copyright Complaints

We respect intellectual property rights. If you believe any content made available through the Services infringes your copyright or other intellectual property rights, please contact us at hiwlives@gmail.com with sufficient detail for us to review the concern, including your contact information, identification of the work at issue, and the location of the material in question.

17) Disclaimers

The Services and Content are provided “as is” and “as available.” We strive for accuracy and continuity but do not warrant uninterrupted operation, error-free content, or specific outcomes. Your use of the Services is at your discretion and risk.

18) Limitation of Liability

To the fullest extent permitted by law, HIW, LLC will not be liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, data, goodwill, or business interruption, arising from or related to your use of the Services. Our aggregate liability for any claim will not exceed the amount you paid directly to HIW Live for the Service giving rise to the claim.

19) Indemnification

You agree to defend, indemnify, and hold harmless HIW, LLC and its owners, employees, and agents from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your

     (a) use of the Services;

     (b) violation of these Terms; or

     (c) infringement of third-party rights.

20) Termination

You may stop using the Services at any time and request account deletion. We may suspend or terminate access with or without notice if

     (a) you violate these Terms;

     (b) security or legal concerns arise; or

     (c) we discontinue the Services. Upon termination, Sections 6–9, 11–21 survive.

21) Dispute Resolution; Governing Law

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-law rules.

Venue for any dispute arising from or relating to these Terms or the Services shall be the state or federal courts located in Washington State, and you consent to their jurisdiction.

22) Force Majeure

We are not responsible for delays or failures due to events beyond our reasonable control (e.g., natural disasters, power or internet outages, labor disputes, cyberattacks, governmental actions).

23) Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights/obligations in connection with a merger, acquisition, reorganization, or sale of assets.

24) Severability; Waiver; Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver. These Terms, together with the Privacy Policy and any program-specific terms, constitute the entire agreement between you and HIW, LLC regarding the Services.
